You acknowledge and agree: (a) to access and use the Supplier Portal

only for lawful purposes and in compliance with all applicable laws,

including without limitation, any export control laws, security

classification regulations, antitrust and competition laws and privacy

laws, (b) to take all necessary precautions to ensure that all user

content or other information, data or material provided by you does not

contain any items, links, descriptions or information prohibited in

these terms and conditions; (c) to take all precautions necessary to

maintain the secrecy and security of your Passwords and user IDs and be

solely responsible for any use or misuse of your Passwords and user IDs;

and (d) to comply with any and all applicable rules governing

transactions on and through the Supplier Portal, (e) that neither my

company, or its principals, is debarred, suspended, or proposed for

debarment by the federal government.

You shall not post on or otherwise transmit via the Supplier Portal any

item, link, description or information that: (a) is or may be false,

inaccurate or misleading; (b) is or may be fraudulent or involve the

sale of counterfeit or stolen items; (c) misappropriates or infringes

upon the rights of any third party, including without limitation, any

copyright, patent, trademark, trade secret or other proprietary rights

or rights of publicity or privacy; or (d) violates any applicable laws,

including without limitation, those governing export control, security

classification, consumer protection, unfair competition, antitrust and

competition, anti-discrimination or false advertising.

IN NO EVENT WILL GENERAL ATOMICS, ITS AFFILIATES OR THEIR RESPECTIVE

SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND OTHER

REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL

OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR

LOSS OF PROFITS, REVENUE, DATA OR USE) INCURRED BY YOU OR ANY THIRD

PARTY ARISING FROM OR RELATED TO ANY ACCESS TO OR USE OF, INABILITY TO

ACCESS OR USE OR THE TERMINATION OF ANY ACCESS TO OR USE OF THE SUPPLIER

PORTAL, REGARDLESS OF THE FORM OFACTION OR CLAIM (WHETHER CONTRACT,

TORT, STRICT LIABILITY OR OTHERWISE) AND EVEN IF GENERAL ATOMICS HAS

BEEN INFORMED OF THE POSSIBILITY THEREOF
